Software License & EULA

1. Ownership

QUALICORE — including all source code, designs, user interfaces, algorithms, data models, documentation and branding (“the Software”) — is the exclusive property of ECONX GROUP (PTY) LTD (Reg. 2026/110163/07) and is protected by South African and international copyright, trademark and trade-secret law.

The Software is licensed, not sold. No ownership transfers to you by accessing, deploying or subscribing to the Software.

2. Grant of license

Subject to a valid paid subscription and continuous compliance with this agreement, you are granted a limited, non-exclusive, non-transferable, revocable right to access and use the hosted Software as a service for your internal business operations only, for the term of your subscription.

No right is granted to the source code, to self-host the Software, or to use it other than through our authorised service.

3. Restrictions — strictly prohibited

You may not (and may not permit anyone to): copy, reproduce, distribute, sell, rent, sublicense or transfer the Software or any part of it; reverse engineer, decompile or disassemble it; modify, adapt or create derivative works; remove or alter any proprietary notice; build, assist or benchmark any product that is derived from, similar to, or competitive with the Software; scrape or automate extraction of its data, designs or code; or circumvent any security, licensing or authentication mechanism.

4. Confidentiality & trade secrets

The Software embodies valuable trade secrets and confidential information. You must keep its non-public behaviour and internal designs strictly confidential, applying at least a reasonable degree of care.

5. Your data & privacy

Your business data remains yours and is processed solely to provide the service, under our Privacy Policy and any Data Processing Agreement (POPIA/GDPR-aligned). We may use aggregated, de-identified data to improve the Software. Material actions are audit-logged.

6. Termination

This license terminates automatically on any breach of the restriction or confidentiality sections. On termination you must cease all use of the Software. The ownership, restriction, confidentiality, warranty, liability and enforcement sections survive.

7. No warranty

The Software is provided “as is” and “as available”, without warranty of any kind to the maximum extent permitted by law, including any warranty of merchantability, fitness for a particular purpose, title or non-infringement.

8. Limitation of liability

To the maximum extent permitted by law, the Licensor is not liable for any indirect, incidental, special, consequential or punitive damages, or loss of profits, revenue, data or goodwill. Total aggregate liability will not exceed the fees you paid in the three months preceding the claim.

9. Enforcement & governing law

Unauthorised copying, distribution, reverse engineering or competitive use causes irreparable harm, and the Licensor may seek injunctive relief in addition to any other remedy. This license is governed by the laws of the Republic of South Africa, and the Licensor may enforce its rights in any jurisdiction where infringement occurs.
